Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the VirtualSpace website/storefront at virtualspacesec.com, the VirtualSpace AppSec software, license activation, and related support (together, the "Offering"). The Offering is operated by Verse, the Dutch registered business behind the VirtualSpace product/trade brand ("Verse", "VirtualSpace", "we", "us", "our"). By creating an account, placing an order, activating a license, or otherwise using the Offering, you ("you", "the Client") confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Offering.
Please review these Terms periodically, as they may be updated in accordance with section 14. Nothing in these Terms limits the mandatory statutory rights you have as a consumer.
1. Who we are and definitions
The Offering is provided by the business identified in section 17. In these Terms: "VirtualSpace" is the product/trade brand used for the website and Software; "Verse" is the contracting legal entity; "Software" means the VirtualSpace AppSec application and any updates, models, and rule sets provided with it; "License" means the right to use the Software granted under section 3; "Consumer" means a natural person acting wholly or mainly outside their trade, business, craft, or profession; and "third party" means any person or entity other than you or us.
2. The Software
VirtualSpace AppSec is a downloadable application for Windows 10 and 11 that performs Static Application Security Testing (SAST) and AI-assisted vulnerability analysis of software that you own or are authorized to analyze. It is a defensive tool intended to help individual developers and security researchers identify and remediate vulnerabilities in their own applications.
All analysis, including the machine-learning and language models, runs locally on your device. The Software does not transmit your source code, binaries, scan results, or analysis output to us or to any third party, and we do not collect or store that material. The analysis engine operates within a fixed, predefined framework and cannot be prompted or instructed directly by the user, which keeps outputs consistent and the analysis environment controlled.
3. License grant
On successful payment, we grant you a non-exclusive, non-transferable, revocable License to install and use the Software on the number of machines stated in your purchased plan, for the duration of that plan and subject to these Terms.
- Term licenses (for example 7-day or 30-day) expire automatically at the end of the term. They are one-time purchases, are not subscriptions, and do not renew automatically; renewal is always a manual, separate purchase.
- Lifetime licenses are one-time licenses with no recurring renewal fee. For legal clarity, "lifetime" refers to the supported lifecycle of the product itself, not to the lifespan of any individual. The lifecycle continues for as long as we actively develop and maintain the product, subject to section 14.
- You may not resell, sublicense, rent, lend, share, publish, or otherwise redistribute the Software or your license key. Keys are issued per customer.
- Activation may associate a License with a hashed machine fingerprint. You may move a License between machines using in-app deactivation, subject to reasonable limits that prevent abuse.
4. Acceptable use and authorization
You may use the Software only to analyze applications that you own or for which you hold explicit, documented authorization from the rights holder. You are solely responsible for ensuring you have the necessary rights and permissions before analyzing any application, and for complying with all applicable laws and third-party agreements. If you violate such rights or agreements, you assume full responsibility and liability for the consequences.
The Software is designed to discourage analysis of unauthorized third-party applications, and its AI cannot be directly prompted or manipulated. These safeguards do not replace your obligation to use the Software lawfully and only where you are authorized to do so.
5. Prohibited uses
In addition to the restrictions elsewhere in these Terms, you must not use the Offering to:
- conduct security testing or analysis against systems, software, or networks that you do not own or lack written authorization to test;
- engage in, promote, or facilitate any unlawful activity, criminal offense, or conduct prohibited under applicable law;
- infringe, misappropriate, or violate any intellectual property, proprietary right, or confidentiality obligation;
- harass, threaten, abuse, defame, or unlawfully discriminate against any person or group;
- introduce, upload, or distribute malware, spyware, viruses, or any other harmful code;
- collect, harvest, intercept, or track personal or confidential data without a valid legal basis and consent;
- engage in spamming, phishing, scraping, or other unauthorized data-extraction techniques;
- bypass, disable, or test the security or access-control features of the website, license system, or Software except as expressly permitted; or
- interfere with the normal operation, performance, or availability of the website, license system, or Software.
You must not purchase, activate, access, or use the Offering if you are subject to applicable sanctions, export-control restrictions, trade restrictions, payment-provider restrictions, or card-scheme restrictions. We may reject, cancel, refund, suspend, or refuse an order or activation where required by law, our payment processors, card networks, fraud controls, sanctions screening, or risk-monitoring obligations.
We reserve the right to suspend or terminate access to the Offering for any violation of these prohibited uses.
6. Local processing and your data
Consistent with section 2, the Software processes your code and analysis data locally and does not send it to us. The limited personal data we do process to operate the storefront (such as account, order, and license-activation data) is described in our Privacy Policy, which forms part of these Terms.
7. Pricing, payment, and renewals
Prices are shown at checkout in euros and are inclusive of VAT where applicable. Payment is charged in full at the time of purchase through Shopify checkout and our payment providers, including Worldline and Tazapay where available. We do not store full card numbers; card data is processed by our providers within a PCI-DSS compliant environment.
Orders are accepted only where Shopify checkout and our payment providers can support the transaction, verify required information, and process the payment lawfully. Payment-provider approval, fraud screening, sanctions screening, chargeback monitoring, and card-network requirements may affect whether an order can be completed or maintained.
Licenses are one-time purchases. There are no recurring charges and no automatic renewals. Where a term license expires, any continued use requires a new, manual purchase. Your license key and activation instructions are delivered electronically, normally by email, shortly after payment is confirmed.
8. Refunds and EU right of withdrawal
Our refund terms are set out in full in our Refund Policy, including a voluntary 14-day satisfaction guarantee.
The Software is digital content supplied on a one-off basis. For Consumers in the EU, by activating the license key you request immediate supply of the digital content and expressly acknowledge that you lose the statutory 14-day right of withdrawal once supply has begun, in accordance with Article 16(m) of Directive 2011/83/EU. Our voluntary 14-day satisfaction guarantee goes beyond what the law requires.
9. Legal guarantee of conformity and warranties
Consumers in the EU benefit from the statutory legal guarantee of conformity for digital content under Directive (EU) 2019/770, as implemented in Dutch law, for a period of at least two years. If the Software does not conform to what was agreed, you are entitled to have it brought into conformity, or to an appropriate price reduction or refund, in accordance with that law.
Beyond these mandatory rights, the Software is provided on an "as is" and "as available" basis. No automated security tool can detect every vulnerability, and findings are advisory. You remain responsible for the security of your own code, systems, and data, and for validating and acting on the Software's output.
10. Intellectual property
We and our licensors own all intellectual property rights in the Software, the website, and their content. No rights are granted to you except the License expressly set out in these Terms. You may not copy, modify, translate, decompile, disassemble, or reverse engineer the Software, except to the limited extent that such a restriction is prohibited by applicable mandatory law (including the interoperability rights under Article 6 of Directive 2009/24/EC). Any attempt to circumvent licensing or technical protection measures may result in immediate termination of your License.
11. Limitation of liability
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Offering is limited to the amount you paid for the relevant License in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, data, goodwill, or business, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any breach of mandatory consumer rights.
12. Indemnification
To the extent permitted by law, you agree to indemnify and hold us harmless from any third-party claim, loss, or expense arising from your unauthorized use of the Software, your breach of these Terms, or your violation of any law or third-party right. This section does not apply to Consumers acting in good faith within their statutory rights.
13. Suspension and termination
We may suspend or terminate your access to the Offering if you materially breach these Terms, including the acceptable-use and prohibited-use sections, or where required by law. On termination, your License ends and you must stop using and remove the Software. Termination does not affect any statutory consumer rights or any refund you may be entitled to under our Refund Policy.
14. Changes to the Software and these Terms
We may improve, update, or modify the Software, and we may discontinue features or the product where maintaining it is no longer reasonably feasible. Where we discontinue a product, we will give affected customers reasonable advance notice and will respect applicable consumer-protection remedies. We may also update these Terms; where changes are material, we will notify active customers by email at least 30 days in advance where required by law. Your continued use after changes take effect constitutes acceptance, without prejudice to your statutory rights.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Netherlands. The courts of the Netherlands have jurisdiction over any dispute, without prejudice to the mandatory consumer protections of your country of residence and to the right of EU Consumers to bring proceedings there. EU Consumers may also refer a dispute to a competent alternative dispute resolution (ADR) body, or contact the consumer-protection authority in their country of residence — in the Netherlands, ACM ConsuWijzer (consuwijzer.nl).
16. Miscellaneous
If any provision of these Terms is held invalid, it will be interpreted to reflect the parties' intentions as closely as the law allows, and the remaining provisions stay in full force. Our failure to enforce a right is not a waiver of it. We may assign our rights and obligations under these Terms to a successor of our business, provided your rights are not diminished. These Terms, together with our Privacy Policy and Refund Policy, form the entire agreement between you and us regarding the Offering.
